M&A Corporate Development

A sourcing engine you do not have to hire.

Xpertegic builds and runs the corporate development function for PE-backed platforms. Thesis, target mapping, outreach and process management. It runs like an extension of your team, not a search sent over email.

The problem this solves

Sourcing loses to whatever is urgent

Pipeline development is the work that never has a deadline. It sits behind the live deal, the portfolio issue and the LP meeting. It is the first thing to slip.

Coverage goes cold

A banker relationship that is not worked goes quiet. The call about the off-market process goes to someone else.

The funnel is too narrow

A platform seeing ten targets a year is choosing from ten. The thesis deserves a wider field than that.

Process eats the partner

Running an LOI and a diligence workstream is a full-time job while it lasts. It is also nobody’s only job.

What changes: a named team whose only job is the pipeline. It works your thesis every week, with the banker coverage and outreach cadence a dedicated corp dev function would run.

What we do

Four components, one function

Build a disciplined acquisition engine to source and execute add-on acquisitions.

Platform assessment

Where the platform stands today: capability, capacity, systems and the realistic absorption rate for add-ons.

M&A strategy development

Turning the investment thesis into acquisition criteria specific enough to say no to a target that misses.

Deal origination

Target mapping, outreach, pipeline management and banker coverage, run continuously rather than in bursts.

Due diligence coordination

Running the workstreams and the advisors, and carrying findings forward into the integration plan.

We do not send you a list of targets. We build, manage and work the pipeline.

How origination works

From thesis to signed LOI

The same sequence on every mandate, so coverage is consistent rather than dependent on who has time this month.

Process

Per deal

Diligence findings are carried into the integration plan rather than filed at close. That handover is the point where most deal value quietly leaks. See due diligence and post-merger integration.
Deal access and capital

Where the opportunities come from

On-market processes and off-market conversations, plus the capital relationships a structure sometimes needs.

How we engage

Retainer plus success fee

Corporate development is priced so that capacity is funded and outcomes are shared.

The retainer

Funds the capacity

A monthly retainer, set by scope and complexity, funds ongoing origination, evaluation and deal process capacity. That is what keeps coverage continuous.

The success fee

Shares the outcome

A success fee is calculated as a percentage of transaction value. It ties a share of our compensation to deals that actually close.

Final scope, retainer level and success fee terms are set for each engagement. Either the sponsor or the portfolio company can be the contracting party. Emerging managers should look at The Charter Program, where origination carries no monthly retainer.

Is this the right service

When a sourcing engine is the missing piece

Corporate development is the right service when the pipeline is the constraint. It is the wrong one when it is not.

A fit if you are

Not a fit if you

If the pipeline is healthy and the constraint sits after close, start with post-merger integration . If you want sourcing and integration under one relationship, see end-to-end M&A capability .

The rest of the lifecycle

Leading integration from pre-close planning through value capture.

All three under one commercial relationship and one governance cadence.
